Ownership and usage rights for customized or client-specific deliverables will be governed by the applicable written agreement.
9. Confidentiality
Either party may receive confidential business, operational, employee, customer, or other proprietary information during an engagement.
Each party must use such information only for the agreed purpose and take reasonable steps to prevent unauthorized access, use, or disclosure.
Confidentiality obligations do not apply to information that is lawfully public, independently developed without using confidential information, lawfully known before disclosure, or required to be disclosed by law.
Clients and participants must not disclose confidential information belonging to other organizations or individuals without appropriate authorization.
Any separate confidentiality or non-disclosure agreement will apply according to its terms.

Training sessions may be documented for internal administration, attendance, learning evaluation, or other agreed purposes.
Public promotional use of photographs, videos, testimonials, client names, or logos requires appropriate permission or another valid legal basis.
Where applicable, authorization must be obtained from the relevant client and any identifiable individuals whose permission is required.
Participants and clients must not record or distribute training sessions or other participants’ identifiable images without the necessary authorization.
Any agreed restrictions on photography, recordings, or publicity should be communicated before the session.
11. Training Outcomes and Disclaimer
DG Trainings provides training, education, and professional development intended to improve knowledge, skills, workplace practices, confidence, and business performance.
Actual results depend on factors such as participant engagement, management support, implementation, market conditions, and the client’s own business environment.
We do not guarantee specific revenue, profits, sales conversions, productivity improvements, employee retention, or other commercial outcomes unless expressly stated in a separate written agreement.
Training services do not replace legal, tax, accounting, financial, medical, or other regulated professional advice.

The website may contain links to third-party platforms, including social media, messaging, hosting, analytics, and other external services.
These services may be subject to separate terms and privacy policies. BrillBrains does not control all aspects of third-party services and is not responsible for their independent operation or data-handling practices.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Any additional liability allocation expressly agreed in a separate written contract will apply according to its terms and applicable law.
15. Indemnity
To the extent permitted by applicable law, a client may be responsible for claims, losses, or expenses arising from its unlawful conduct, unauthorized use of third-party materials, or material breach of these Terms, to the extent legally attributable to the client.
This provision does not impose liability for matters for which the client is not legally responsible.
16. Force Majeure
Neither party will be responsible for a delay or failure caused by circumstances beyond its reasonable control, including natural disasters, government restrictions, public emergencies, significant transport disruptions, or major infrastructure failures.
The affected party should notify the other party as soon as reasonably practicable. The parties will seek an appropriate resolution, which may include rescheduling or another mutually agreed arrangement, subject to the applicable booking terms and law.
17. Suspension and Termination
Either party may terminate a training engagement in accordance with the applicable written agreement or applicable law.
We may suspend website access or refuse participation where reasonably necessary to address unlawful conduct, security risks, serious misconduct, or material violations of these Terms.
Outstanding payment obligations, confidentiality requirements, intellectual property protections, and other provisions intended to survive termination will remain effective to the extent applicable.

19. Changes to These Terms
We may update these Terms to reflect changes in our services, website, business arrangements, or applicable legal requirements.
Updated terms will be published on the website with a revised “Last Updated” date.
Existing engagements will remain governed by their agreed contractual terms unless the parties agree otherwise or applicable law requires a different result.
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of India, subject to applicable law and any valid dispute-resolution provisions in a separate written agreement.
The parties should first attempt to resolve disputes through good-faith discussions by sending a written description of the issue and the requested resolution to connect@brillbrainsconsultants.com. If the dispute is not resolved within 30 days of receipt of the written notice, either party may pursue available legal remedies.
Subject to applicable consumer-protection laws and any jurisdiction that cannot lawfully be excluded, disputes may be brought before courts having jurisdiction over the registered office of BrillBrains Consultants Pvt. If a provision is found invalid or unenforceable, the remaining provisions will continue in effect. The affected provision will be interpreted or modified to the minimum extent necessary to make it enforceable, where legally permissible.

These Terms do not create an employment, agency, partnership, franchise, or joint-venture relationship between a client and BrillBrains.
